UBCFA FGM Tuesday, Oct. 29 at 1 pm

 

We would like to thank the members who attended the Fall General Meeting on Tuesday, October 22 for David Robinson’s presentation. Those in attendance enjoyed an excellent talk followed by a lively question and answer session. However we just missed making quorum and therefore, due to the BC Societies Act, the Faculty Association must hold a subsequent meeting the following week to conduct the business of the Association*.


The UBCFA Constitution requires that a General Meeting be held every fall term. The first order of business will be to appoint Hedden Chong LLP as auditors for the 2019 fiscal year. The FA will then be addressing proposed updates to the UBCFA Constitution & Bylaws. An explanation of the recommended changes and the edited bylaws are available on our website for your review.

SPECIAL RESOLUTION:

The notice of motion regarding the proposed changes to the Constitution and Bylaws constitutes a special resolution under our bylaws. Subject to section 16.3 and 16.4 of the Constitution, the proposed amendments and the motion that the membership will be asked to vote on will be discussed at the meeting on October 29th if quorum is not met at the first meeting*.

“IT IS RESOLVED AS A SPECIAL RESOLUTION that effective upon ratification by the membership the Association’s existing Bylaws be rescinded and replaced with the attached new Bylaws, with the proviso that the amendment on term limits (Section 3.12) shall not go into effect until July 2, 2020.”

Subject to section 9.2 of the Constitution, this resolution will be voted on by electronic ballot. The Faculty Association will send notice to the membership announcing the opening and closing of the voting period following the Fall General Meeting.

*Due to changes in the BC Societies Act, unless quorum is met, the Faculty Association must hold a subsequent meeting the following week to conduct the business of the Association. Quorum under our Constitution and Bylaws is currently 50 members. Should quorum not be met, then a second meeting will be held at 1:00 p.m. on Tuesday, October 29 at which time business can proceed.
